1. Overview

1.1 Purpose

In order to protect the legitimate rights and interests of ipipk.com members and create and maintain a positive environment, these ipipk.com Membership Rules/Terms and Conditions (hereinafter referred to as "rules") are formulated. Please note:

(a) ipipk.com Membership is operated by ipipk.com.

(b) ipipk.com Membership only recognizes registered commercial Memberships of ipipk.com as its members.

1.2 Applicable scope

These Rules apply to all members of ipipk.com Membership (the “Member” or "Members"). All applicable agreements and rules on ipipk.com shall also apply to the Members. The Members who use the "Membership Benefits" (as defined below) shall be regarded as having read, fully understood, and accepted these Rules.

2. Definitions

2.1 Members

ipipk.com Membership is a membership program developed for ipipk.com Buyers, which aims at improving Members' experience on the website through membership benefits. Membership stages of ipipk.com Membership include Seed, Scaleup, Enterprise, and Enterprise Pro. Members are entitled to the benefits corresponding to their membership level.

2.2 Membership benefits

"Membership Benefits" refers to the benefits which are available to Members of ipipk.com Membership based on their membership levels. Members at different membership levels will enjoy different benefits. The ipipk.com Membership benefits include, but are not limited to, offering the Members:

(a) certain discounts for purchasing specific products; and

(b) other services available on ipipk-associated websites.

ipipk.com will update and replace existing benefits from time to time, so as to continuously improve the service content (unless there are special instructions, all new and updated benefits shall abide by these rules).

2.3 Level verification

According to our requirements for Members of different levels, Members need to actively choose the membership level and verification method, and provide corresponding verification materials. We will judge the membership level based on the verification materials and in combination with other available verification methods.

3. Membership level

3.1 Membership level

ipipk.com Membership is divided into four levels.

Level	Requirements
Seed	To unlock Seed level, Members must complete collection of specific information, or complete specific buyer’s quality behaviors, or achieve an annual order amount of USD 50 at ipipk.com.
Scaleup	To unlock Scaleup level, Members must pass corresponding verification of business qualification, or achieve an annual order amount of USD 300 at ipipk.com.
Enterprise	To unlock Enterprise level, Members must pass corresponding verification of business qualification, or achieve an annual business revenue of USD 100,000, or achieve an annual order amount of USD 10,000 at ipipk.com.
Enterprise Pro	To unlock Enterprise Pro level, Members must achieve an annual business revenue of USD 1,000,000, or achieve an annual order amount of USD 300,000 at ipipk.com.

3.2 Acquisition of membership levels

3.2.1 After the membership plan is launched, all Members who meet the corresponding requirements will be eligible for membership.

3.2.2 After the membership verification of ipipk.com is passed, the membership level qualification is permanently valid.

3.2.3 Members can complete the corresponding member level verification to reach a higher level.

3.2.4 Once activated, your membership status will be displayed on ipipk.com. ipipk.com may demonstrate the membership level to some vendors.

4. Membership termination

4.1 Any ipipk.com Membership membership may be terminated or suspended for any of the following reasons:

(a) ipipk.com has reasonable suspicion that the Member has used its membership rights improperly;

(b) the Member has committed any misconduct on ipipk.com, including but not limited to dishonest or fraudulent conduct;

(d) withdraw from this membership program by the Member or cease of operation of this membership program by ipipk.

4.2 If a Member intends to withdraw from the membership program, please contact customer service. The memberships who have withdrawn from the membership program will no longer enjoy the membership level and benefits under the membership program.

4.3 Indemnity

The Members agree to indemnify ipipk.com, its affiliates, directors, employees, agents, and representatives and to hold them harmless, from any and all damages, losses, claims, and liabilities (including legal costs on a full indemnity basis) which may arise from the Members' breach of these Rules.

5. Governing law; dispute resolution

5.1 These Rules shall be governed by Hong Kong laws. Any dispute arising out of or in connection with the ipipk.com Membership's services herein shall be subject to the exclusive jurisdiction of Hong Kong courts.

6. Disclaimer

6.1 The membership level of Members of ipipk.com is only used as a reference standard for ipipk.com to provide benefits to Members, and shall not be used as a standard for judging buyers' trading ability, goodwill, nor identity. ipipk.com makes no commitments nor proof of the trading ability or identity of Members.

6.2 ipipk.com makes no warranty as to the quality of the products sold on the website.

7. Language

7.1 The English version of these Rules shall always prevail, and any translation of the English Version of these Rules is for reference only.
